BreadWeb Academy Policy

1. Purpose

This policy defines how BreadWeb Academy educational materials, course economics, professional participation, approvals, student access, and platform protections are governed. Its purpose is to protect educational quality, student trust, operational continuity, legal defensibility, and BreadWeb’s ability to safely operate and scale the Academy.

2. Scope

This policy applies to all BreadWeb Academy participants, including students, teachers, course managers, reviewers, delegated reviewers, Academy admins, and any party uploading, submitting, publishing, linking, reviewing, purchasing, or accessing Academy materials, courses, sessions, discussions, or related educational services.

4. Educational Material Sharing

4.1 Approved Repository Requirement

All course materials intended for BreadWeb Academy publication should be stored in repositories approved by BreadWeb. BreadWeb may designate one or more approved repositories based on operational, security, governance, and business needs.

Personal teacher storage should not be treated as the long-term system of record unless BreadWeb expressly approves an exception.

4.2 Submission and Review Process

Before publication to students:

1. The teacher or course manager prepares the material.
2. The material is submitted or uploaded to a BreadWeb-approved repository.
3. Academy admin or a delegated reviewer reviews the material.
4. BreadWeb may approve, reject, request revision, or require replacement.
5. Only approved material links and metadata may be published through the BreadWeb Academy Materials page.

4.3 Review Standards

BreadWeb may review materials for:

• relevance to the course
• educational usefulness and quality
• professionalism and appropriateness
• legality, safety, and policy compliance
• correct naming, organization, and repository settings
• proper student access behavior
• technical reliability and continuity of access

4.4 Publishing Rules

Each published material entry should include, at minimum:

• title
• material type
• short description
• approved link
• visibility setting

BreadWeb may remove, disable, replace, or temporarily unpublish any material link that does not meet policy, quality, legal, access, continuity, or operational requirements.

5. Commission, Payout, and Connected Account

5.1 Course-Level Payout Rule

BreadWeb Academy determines payout at the course level. The applicable course owner and approved payee control the payout destination for that course.

5.2 Commission Rule

Unless BreadWeb expressly defines otherwise for a specific course arrangement, BreadWeb retains 15% of eligible non-platform-owned Academy course revenue as the BreadWeb platform commission, and the remaining 85% is payable to the approved course payee.

5.3 Payee Outcomes by Course Type

• For an independent teacher-owned course, the approved teacher payee receives the applicable 85% share.
• For a course-manager-owned course, the approved course manager payee receives the applicable 85% share.
• For a platform-owned course, BreadWeb is the course payee, and teacher compensation is handled separately through BreadWeb negotiation, agreement, or platform arrangement.

5.4 BreadWeb Right to Change Commission and Payout Rates

BreadWeb reserves the right to revise, replace, increase, decrease, restructure, or otherwise change Academy commission rates, payout percentages, payout structures, reserve structures, release timing, and related commercial terms from time to time.

Any such change, when adopted by BreadWeb, will be clearly reflected in this BreadWeb Academy Policy and may also be communicated by any additional notice method BreadWeb considers appropriate. Continued participation in BreadWeb Academy after the effective date of an updated policy constitutes acceptance of the revised Academy commission or payout terms, except where applicable law requires otherwise.

5.5 Connected Account and Payout Readiness

BreadWeb may require payout registration, identity verification, tax information, and an approved connected payout account, including a connected Stripe account where applicable, before a participant may receive Academy payouts, publish paid courses, or have payouts released. BreadWeb may delay publication, hold payout release, suspend sales, or disable payout functionality if required payout setup, verification, or compliance remains incomplete.

5.6 Platform-Hired Teacher Compensation

Where a teacher is hired directly by BreadWeb for a platform-owned course, teacher compensation may be handled outside the standard Academy course-payee flow. Such compensation may be governed by separate negotiation, offer, or agreement.

6. Professional Flexibility

BreadWeb Academy recognizes that an educator may participate in different approved roles across different courses. A teacher may teach under a course manager for one course and may, if separately approved, independently own another course or serve as a course manager for other courses. A teacher may also be hired by BreadWeb to teach a platform-owned course.

BreadWeb Academy preserves the independence of professional relationships and determines ownership, payee status, permissions, and participation rights at the course level.

7. Relationship Between Course Manager and Teacher

For course-manager-owned courses, BreadWeb Academy recognizes the approved course manager as the payout recipient for that course unless BreadWeb expressly states otherwise in writing.

BreadWeb Academy does not govern, supervise, enforce, or assume responsibility for the separate private business relationship between a course manager and a teacher working under that course manager.

Any compensation arrangement, revenue-sharing arrangement, contract, work expectation, supervision structure, employment classification, service arrangement, or other private business relationship between a course manager and a teacher is strictly their own independent business matter and remains outside BreadWeb Academy governance unless BreadWeb expressly states otherwise in writing.

8. Student Rights and Responsibilities

8.1 Student Rights

• to access purchased or otherwise authorized Academy course content and sessions, subject to platform rules, repository access controls, payment status, and course availability
• to receive materially accurate course descriptions, pricing, and delivery-mode information as presented by BreadWeb and approved course operators
• to use Academy discussion and course participation features in accordance with BreadWeb rules
• to report broken links, misleading listings, inappropriate conduct, or suspected policy violations
• to be treated with professionalism within the Academy environment

8.2 Student Responsibilities

• not to redistribute, resell, repost, scrape, or publicly share student-restricted materials unless expressly permitted
• not to misuse course access, discussions, messages, links, or sessions
• not to impersonate another person or misrepresent identity, payment status, or enrollment status
• to comply with course rules, platform rules, repository access rules, and applicable law
• to understand that course purchase or enrollment does not guarantee a specific educational outcome, certification, licensure, job result, or commercial result unless BreadWeb expressly states otherwise in writing

9. Teacher and Course Manager Rights and Responsibilities

9.1 Teacher and Course Manager Rights

• to apply for Academy participation and be considered through BreadWeb’s review process
• to maintain approved course offerings and materials in accordance with BreadWeb rules
• to receive payout where they are the approved course payee and all payout conditions are satisfied
• to participate in different approved roles across different courses, subject to BreadWeb approval and course-level configuration
• to retain ownership of their original content subject to the BreadWeb operational license set out below

9.1A Ownership of Course Materials and BreadWeb Operational License

Teachers and course managers retain ownership of their original course materials and other original content that they create and submit to or use through BreadWeb Academy.

However, by submitting, uploading, linking, publishing, displaying, or otherwise making any course materials, course content, descriptions, recordings, discussions, promotional content, reviews, or related materials available through BreadWeb Academy, each teacher or course manager grants BreadWeb a non-exclusive, worldwide, royalty-free, sublicensable license, for so long as reasonably necessary, to review, use, reproduce, display, link, cache, store, archive, transmit, promote, moderate, investigate, technically format, create limited previews, excerpts, thumbnails, captions, or accessibility adaptations from, and otherwise process and administer that content to the extent reasonably necessary to operate, market, support, secure, moderate, enforce, and protect BreadWeb Academy and its related services, policies, legal obligations, payment operations, dispute handling, and platform integrity.

This license includes the right for BreadWeb to allow its service providers, infrastructure providers, repository providers, payment providers, reviewers, moderators, delegated administrators, and other authorized support providers to access or process such content solely as reasonably necessary to support BreadWeb Academy operations, compliance, security, dispute resolution, payment administration, copyright handling, and platform administration.

Except for the foregoing license and any other rights expressly granted under BreadWeb policy or applicable agreements, BreadWeb does not claim ownership of the educator’s original course materials.

BreadWeb may remove, disable, restrict, delist, archive, preserve, or stop displaying any content where BreadWeb reasonably believes such action is necessary for legal compliance, copyright or rights handling, fraud prevention, policy enforcement, safety, security, dispute management, repository integrity, or protection of BreadWeb Academy, its users, or third parties.

9.2 Teacher and Course Manager Responsibilities

• to provide truthful, current, and non-misleading identity, qualification, subject-matter, and course information
• to maintain working, properly permissioned, and policy-compliant material links
• to avoid infringing, unlawful, unsafe, deceptive, or abusive content or conduct
• to comply with payment, tax, payout, identity, repository, and review requirements
• to understand that BreadWeb may review, limit, reject, suspend, or remove participation, content, or payouts where necessary for safety, legal, compliance, or platform-protection reasons

10. Admin Rights and Platform Controls

BreadWeb Academy admin or delegated reviewers may:

• review, approve, reject, or request revision of teacher and course manager applications
• review, approve, reject, replace, disable, or unpublish course materials and links
• review, edit, limit, suspend, or remove course listings, sessions, discussions, and Academy participation
• require corrections, disclosures, repository changes, or access-setting changes
• request or verify identity, qualifications, portfolio materials, ownership assertions, or payout information
• hold, delay, suspend, offset, or deny payout where reasonably required for refund handling, disputes, chargebacks, fraud review, legal compliance, policy enforcement, or incomplete payout setup
• take any additional reasonable action BreadWeb considers necessary to protect students, educators, BreadWeb systems, BreadWeb reputation, or legal compliance

11. Authenticity and Truthful Representation

Any person applying or participating as a teacher, course manager, reviewer, or other Academy professional must be authentic in identity, qualifications, experience claims, subject-matter claims, pricing representations, course claims, review statements, testimonial statements, and promotional statements.

No participant may impersonate another person, fabricate credentials, use misleading biographies, inflate experience, present false licensing or certification claims, submit manipulated student feedback, or make deceptive claims about course value, outcomes, endorsements, or approval status.

BreadWeb may request supporting documentation, verify credentials, request clarification, apply account restrictions, remove claims, remove content, suspend participation, or take further action where authenticity is in doubt or truthfulness standards are not met.

12. Intellectual Property and Takedown

By submitting or publishing Academy materials, links, listings, course descriptions, discussions, recordings, or related content, the submitting party represents that they have the necessary rights, permissions, licenses, or authority to use and publish that content.

The submitting party remains responsible for ensuring that Academy materials do not infringe copyright, trademark, privacy, publicity, contractual, confidential, or other rights of third parties.

BreadWeb may act expeditiously to remove, disable, or restrict access to content that is alleged or believed to be infringing, unauthorized, unlawful, or otherwise non-compliant.

BreadWeb may maintain notice-and-removal, complaint-handling, repeat-violation, or similar copyright and rights-protection procedures and may preserve evidence, logs, or records relevant to any such review.

13. Safety, Restricted Use, and Compliance

BreadWeb Academy may prohibit or remove any course, material, statement, or conduct that BreadWeb reasonably considers unlawful, unsafe, deceptive, abusive, exploitative, infringing, harassing, discriminatory, fraudulent, or otherwise inconsistent with BreadWeb policy or platform integrity.

BreadWeb may also limit or refuse categories of instruction, content, or activity where legal, regulatory, reputational, operational, safety, or payment-processing risk is elevated.

14. Privacy, Minors, and Access

BreadWeb may impose identity, age, consent, parent-or-guardian, account-security, repository-access, or privacy-related controls as BreadWeb considers appropriate.

BreadWeb may restrict, limit, or prohibit Academy participation by minors, and may require parent or guardian involvement where BreadWeb considers it necessary or where law requires it.

BreadWeb may suspend or remove accounts, access, materials, or interactions where age, privacy, consent, or safety issues arise.

15. Enforcement and Platform Protection

BreadWeb may suspend, remove, replace, restrict, freeze, withhold, delay, deny, or condition any Academy material, link, listing, course, session, payout, application, permission, or participation where BreadWeb reasonably believes such action is necessary for policy enforcement, quality control, student protection, fraud prevention, dispute management, platform integrity, legal compliance, or business continuity.

BreadWeb’s failure to exercise any right immediately does not waive that right. BreadWeb may take layered or escalating enforcement action where appropriate.

16. Policy Changes

BreadWeb may update this policy from time to time. BreadWeb may determine the effective date, publication method, and transition approach for policy updates.

Unless immediate action is required for safety, security, legal, fraud, payment, compliance, or operational reasons, BreadWeb may provide advance notice before material changes take effect.
