Tax Responsibility and Mandatory Compliance Policy

This Policy applies to BreadWeb sellers, affiliates, referrers, and any participant who earns seller proceeds, commissions, referral rewards, bonuses, or other payments through BreadWeb.

For purposes of this Policy, a participant means any independent seller, affiliate, referrer, or other person or entity that receives seller proceeds, commissions, referral rewards, bonuses, or other payments through BreadWeb.

1. Independent Seller Responsibility

Each seller, and not BreadWeb, is the independent merchant, owner, and seller of the products or services listed and sold by that seller through BreadWeb.

Each seller is solely responsible for the seller’s products, listings, descriptions, pricing, sales, shipping, fulfillment, delivery, returns, warranties, customer obligations, business operations, licenses, records, and taxes.

Each seller is solely responsible for determining whether taxes apply to the seller, the seller’s products or services, or the seller’s sales, and for calculating, collecting, reporting, filing, remitting, and paying all taxes, duties, assessments, fees, and governmental charges for which the seller is responsible.

BreadWeb provides technology, marketplace access, listing tools, payment integration, transaction records, and limited support tools. BreadWeb does not own or sell the seller’s products, operate the seller’s business, fulfill or ship the seller’s products, determine the seller’s tax obligations, or assume responsibility for taxes imposed on the seller, the seller’s products or services, or the seller’s business activities.

2. Affiliate and Referrer Responsibility

Each affiliate and referrer operates independently and is solely responsible for determining, reporting, filing, and paying all taxes associated with affiliate commissions, referral rewards, bonuses, and any other earnings received through BreadWeb.

Affiliate and referral earnings are paid as gross earnings unless a deduction, withholding, or other action is required under the mandatory-compliance provision below.

BreadWeb does not provide tax, legal, accounting, payroll, or financial advice. Affiliates and referrers must obtain advice from their own qualified professionals when needed.

3. Participants Acting in More Than One Role

A participant may act in more than one permitted BreadWeb role. For example, a seller may also participate as an affiliate and may receive both normal seller proceeds and a separate, independently recorded affiliate commission when an unrelated buyer completes an eligible purchase through that seller’s valid affiliate link.

Each category of earnings remains separate for BreadWeb accounting and program purposes. The participant remains solely responsible for determining and satisfying the tax obligations associated with every role and every category of earnings.

4. Participant Records and Tax Information

Sellers, affiliates, and referrers are responsible for maintaining complete and accurate identity, business, payment, and tax information and for promptly updating information that becomes incomplete, inaccurate, or outdated.

A participant must provide any information or documentation reasonably requested to support payment processing, identity verification, compliance review, or a legally required response to a governmental, tax, regulatory, or judicial authority.

5. BreadWeb’s Limited Role

BreadWeb does not become a participant’s employer, partner, joint venturer, agent, tax adviser, accountant, payroll provider, or tax representative merely because the participant uses BreadWeb or receives payments through BreadWeb.

Except for the exact compliance action directly required of BreadWeb under Section 6 below, BreadWeb does not assume the participant’s responsibility to determine, calculate, collect, report, file, remit, or pay taxes.

6. Mandatory Compliance Applicable to BreadWeb as a Technology Platform

BreadWeb operates a technology platform. BreadWeb does not own, manufacture, supply, sell, ship, deliver, fulfill, or warrant a participant’s products or services and does not assume the participant’s tax responsibilities.

BreadWeb may perform a reporting, withholding, disclosure, record-preservation, payment-restriction, funds-transfer, or other compliance action only when that specific action is directly required of BreadWeb by applicable law or is directed by a competent governmental, tax, regulatory, or judicial authority in connection with BreadWeb’s own platform operations, records, payment administration, or funds under BreadWeb’s control.

Any such action is a limited response to the specific legal requirement or lawful directive. It does not make BreadWeb the seller, owner, supplier, distributor, shipper, fulfiller, employer, tax adviser, or tax representative of any participant.

BreadWeb’s performance of a specifically required compliance action does not constitute a voluntary assumption of any participant’s duty to determine, calculate, collect, report, file, remit, or pay taxes connected with that participant’s products, services, sales, business activities, seller proceeds, commissions, referral rewards, bonuses, or other earnings.

Except for the exact action directly required of BreadWeb, each seller, affiliate, and referrer remains solely responsible for independently determining and satisfying all tax and compliance obligations applicable to that participant.

7. Responsibility for Noncompliance

To the fullest extent permitted by law, each seller, affiliate, and referrer is responsible for all taxes, duties, penalties, interest, assessments, claims, demands, audits, losses, liabilities, damages, and reasonable compliance and professional costs resulting from:

  • the participant’s failure to register, calculate, collect, report, file, remit, or pay any tax, duty, assessment, fee, or governmental charge for which the participant is responsible;
  • inaccurate, incomplete, fraudulent, misleading, or outdated identity, business, payment, residency, location, product-classification, sales, earnings, or tax information supplied by the participant;
  • the participant’s failure to obtain or maintain required licenses, registrations, records, returns, exemptions, certificates, or supporting documents;
  • taxes or claims arising from the participant’s products, services, listings, sales, business activities, seller proceeds, affiliate commissions, referral rewards, bonuses, or other earnings; or
  • the participant’s violation of an applicable tax law or lawful governmental, regulatory, tax, or judicial directive.

To the fullest extent permitted by law, the participant agrees to defend, indemnify, and hold harmless BreadWeb LLC and its owners, officers, employees, agents, contractors, and service providers from claims, assessments, liabilities, losses, damages, penalties, interest, and reasonable costs, including reasonable legal and professional fees, arising from those participant-controlled matters.

For avoidance of doubt, BreadWeb is not the seller, owner, supplier, distributor, shipper, or fulfiller of a participant’s products or services. Responsibility for the participant’s products, services, sales, business activities, earnings, records, and related tax compliance remains with the participant.

This Section does not apply to taxes imposed directly on BreadWeb’s own net income or to liability resulting solely from BreadWeb’s failure to perform an obligation that applicable law directly and nontransferably imposes on BreadWeb. This limited exclusion does not transfer to BreadWeb any tax responsibility arising from a participant’s products, services, sales, earnings, business activities, information, or noncompliance.

8. Acknowledgment and Acceptance

By expressly accepting this Policy, accepting a BreadWeb seller, affiliate, referral, commission, or payout policy that incorporates this Policy by reference, or continuing to participate after receiving notice of an updated version where permitted by applicable law, the participant acknowledges that the participant has read, understood, and agreed to this Tax Responsibility and Mandatory Compliance Policy.

BreadWeb may require express re-acceptance before a participant may continue listing or selling the participant’s own products or services, earning affiliate commissions or referral rewards, or receiving seller proceeds, commissions, rewards, bonuses, or other payouts through BreadWeb.

BreadWeb may record and retain the accepted policy version, acceptance timestamp, authenticated user identity, acceptance method, and related transaction and audit information.

For avoidance of doubt, any reference in this Policy to a participant selling, listing, fulfilling, or receiving proceeds relates to that independent seller’s own products, services, and business activities. BreadWeb provides the technology platform and does not become the owner or seller of a participant’s products or services.

BreadWeb may update this Policy when reasonably necessary for legal compliance, platform operations, payment-provider requirements, risk management, or program administration. BreadWeb may require acceptance of an updated version as a condition of continued participation or future payment.
